1. Introduction

Welcome to TAGOJA Quick (“TAGOJA Quick,” “TAGOJA,” “we,” “us,” or “our”).

These Terms and Conditions (“Terms”) govern your access to and use of the TAGOJA Quick website, mobile applications, and related services (collectively, the “Platform”).

TAGOJA Quick is a multi-vendor marketplace that connects customers with independent sellers, restaurants, local stores, and delivery partners in the Philippines. The Platform allows customers to discover products, place orders, make payments through available payment methods, and arrange deliveries where available.

By accessing or using the Platform, creating an account, or placing an order, you agree to these Terms and our applicable Privacy Policy and other policies referenced herein.

If you do not agree to these Terms, please do not use the Platform.

2. Eligibility and Account Registration

You must be legally capable of entering into a binding agreement under applicable Philippine law to use the Platform independently.

If you are below the age of legal capacity, you may use the Platform only with the involvement and consent of a parent or legal guardian, where permitted by law.

When creating an account, you agree to:

Provide accurate, complete, and current information.
Maintain the confidentiality of your login credentials.
Keep your contact details and delivery information up to date.
Notify us promptly if you suspect unauthorized access to your account.
Use the Platform only for lawful purposes.

You are responsible for activities carried out through your account, except where unauthorized activity results from circumstances for which you are not legally responsible.

We may suspend or restrict accounts where reasonably necessary to address suspected fraud, security risks, unlawful activity, or material violations of these Terms, subject to applicable law.

3. Role of TAGOJA Quick

TAGOJA Quick operates as a marketplace platform connecting Customers, Sellers, and Riders or other Delivery Partners.

Unless expressly stated otherwise for a particular transaction:

Customers purchase products offered by participating third-party Sellers.

Sellers are responsible for the products they list, their product descriptions, availability, pricing, preparation or fulfillment, and applicable seller obligations.

Delivery Partners perform delivery services according to the applicable delivery arrangement, service availability, and operational requirements.

TAGOJA Quick provides the technology and marketplace functions that facilitate these interactions. TAGOJA Quick is not itself the manufacturer or retailer of products offered by independent Sellers, unless expressly identified as the seller for a particular transaction.

Nothing in these Terms excludes or limits any obligation or liability that applicable law imposes directly on TAGOJA Quick.

4. Products, Listings, and Availability

Products and services displayed on the Platform are subject to availability, service area, operating hours, and the Seller's acceptance of the order.

Product descriptions, images, specifications, prices, promotions, and availability information are provided by the relevant Seller or other applicable source. We encourage Customers to review product information carefully before ordering.

Although we seek to provide a reliable shopping experience, product images may differ from actual items in appearance, packaging, size, or presentation. Such differences do not excuse a Seller from supplying goods that conform to applicable legal requirements and the material terms of the listing.

We do not guarantee that every product will be available at all times or in every location.

Certain products may be restricted by age, law, safety requirements, or other applicable regulations. Sellers and Customers must comply with these restrictions.

5. Orders and Order Acceptance

When you place an order through the Platform, you submit a request to purchase the selected products under the displayed order details.

An order submission does not necessarily mean that the Seller has accepted the order.

Orders may be subject to:

Seller confirmation and stock availability.
Accurate delivery details and service-area eligibility.
Payment authorization or confirmation.
Applicable minimum order requirements.
Product restrictions and legal requirements.
Other conditions disclosed before checkout.

The Platform may display an order confirmation, order status, or estimated preparation and delivery time. An order is accepted or confirmed according to the status and process communicated through the Platform.

If an order cannot be fulfilled, the affected Customer will be notified through an available communication channel. Any payment collected for an unfulfilled order will be handled in accordance with the applicable refund policy and Philippine law.

We may reject, cancel, or limit an order where reasonably necessary because of stock unavailability, suspected fraud, pricing or listing errors, delivery limitations, payment failure, safety concerns, or legal requirements. Where appropriate, we will notify the Customer and process any refund due.

6. Pricing, Fees, and Taxes

Prices are displayed in Philippine pesos (PHP), unless a different currency is expressly shown for a particular transaction.

Before submitting an order, Customers should review the applicable charges, which may include:

Product prices.
Delivery fees.
Service or platform fees, where applicable.
Applicable taxes.
Discounts, vouchers, or promotional adjustments.

The total payable amount shown at checkout will govern the order, subject to disclosed conditions and applicable law.

Sellers are responsible for the accuracy of their product prices and for their applicable tax, invoicing, and business obligations. TAGOJA Quick will fulfill its own applicable obligations as a marketplace operator.

If a material pricing or calculation error is discovered, we may contact the Customer to confirm the correct amount or cancel the affected order and refund amounts paid, as appropriate under applicable law.

Promotions and discounts may be subject to eligibility requirements, minimum spends, usage limits, validity periods, and other clearly disclosed conditions. Unless expressly stated otherwise, promotions cannot be exchanged for cash or combined with other offers.

7. Payments

The Platform may offer payment methods such as Cash on Delivery (“COD”) and supported electronic payment methods, subject to availability and the conditions displayed at checkout.

Customers must provide accurate payment information and authorize the applicable payment for their orders.

Electronic payments may be processed through third-party payment service providers. Their services may be subject to separate terms, security procedures, and availability requirements.

For COD orders, Customers must pay the amount due through the designated collection process when the order is delivered. COD may not be available for every Seller, location, order value, or product.

TAGOJA Quick does not require Customers to disclose passwords, one-time passwords (OTPs), payment PINs, or other confidential authentication credentials to Sellers or Riders.

Payment disputes, duplicate charges, failed transactions, and refund requests may be submitted through the Platform's designated support channels. We will review such matters and coordinate with the relevant Seller or payment provider where necessary.

8. Delivery and Fulfillment

TAGOJA Quick aims to make shopping convenient by connecting Customers with local Sellers and available delivery services.

Delivery availability and timing may depend on:

The Customer's location and the Seller's service area.
Seller operating hours and preparation time.
Rider availability and delivery capacity.
Traffic, weather, road conditions, and other local circumstances.
Accurate address and contact information.
Applicable safety, legal, and operational restrictions.

Any delivery time shown on the Platform is an estimate unless expressly stated otherwise. We do not guarantee a particular delivery time where circumstances outside the relevant party's reasonable control affect fulfillment.

Customers are responsible for providing a complete and accurate delivery address, a reachable contact number, and any reasonable delivery instructions.

Customers should ensure that someone authorized to receive the order is available at the delivery location. If delivery cannot be completed because the address is incorrect, the Customer cannot be reached, access is unavailable, or the recipient refuses the order, the parties may coordinate a reasonable alternative in accordance with the applicable delivery and refund policy.

Additional delivery charges or other consequences will apply only where permitted by law and disclosed or otherwise legally justified.

Customers must not request Riders to engage in unlawful, dangerous, or unreasonable conduct. Riders and Delivery Partners must follow applicable laws and safety requirements.

9. Order Changes and Cancellations

Customers may request cancellation or changes through the available Platform functions or support channels.

Whether a cancellation or change can be accommodated depends on the order status, Seller acceptance, preparation or fulfillment progress, delivery arrangements, and applicable law.

Before an order is accepted or fulfillment begins, cancellation may be available where supported by the Platform. Once a Seller has accepted or begun preparing an order, or a Rider has been dispatched, cancellation may be restricted or may require coordination with the relevant parties.

We may cancel an order where the Seller cannot fulfill it, payment fails, a delivery service is unavailable, fraud is reasonably suspected, or another valid operational or legal reason applies.

Any cancellation fee, refund, or other consequence must comply with applicable law and the cancellation and refund policy communicated to the Customer.

Nothing in this section removes any cancellation, refund, or other right that a Customer has under mandatory Philippine law.

10. Returns, Refunds, and Disputes

Return and refund eligibility depends on the product, the reason for the request, the order status, the applicable Seller policy, and Philippine law.

Customers should promptly report issues such as:

Incorrect or missing products.
Products that arrive damaged or defective.
Products that materially differ from their descriptions.
Orders that were not delivered.
Duplicate or incorrect payment charges.
Other fulfillment issues covered by applicable law or policy.

Customers may be asked to provide reasonable supporting information, such as an order number, photographs of the item or packaging, or payment transaction details. Requests will be reviewed fairly and proportionately.

Depending on the circumstances, the available resolution may include replacement, return, refund, correction of the order, or another appropriate remedy.

Refunds will generally be processed through the original payment method where feasible. If that is not possible, an alternative lawful method may be arranged. Processing times may depend on the payment provider or financial institution.

For COD orders, any approved refund method and required verification will be communicated to the Customer.

TAGOJA Quick may facilitate communications between Customers and Sellers and assist in resolving marketplace disputes. Customers retain any rights to seek remedies through appropriate Philippine authorities or other lawful channels.

Nothing in these Terms creates a blanket exclusion of statutory consumer rights or makes a Seller's policy override mandatory legal protections.

11. Customer Conduct

Customers agree not to:

Use the Platform for fraud, unlawful transactions, or prohibited activities.
Provide false identities, addresses, payment information, or order details.
Interfere with the security or operation of the Platform.
Attempt unauthorized access to accounts, systems, or data.
Abuse, threaten, harass, or discriminate against Sellers, Riders, support staff, or other users.
Submit fraudulent refund claims or deliberately misuse promotions.
Use the Platform to distribute unlawful, harmful, or infringing material.

We may investigate suspected violations and take proportionate action, including order cancellation, account restrictions, or referral to appropriate authorities where legally justified.

12. Seller Responsibilities

Sellers participating in the marketplace are responsible for complying with applicable Philippine laws and regulations governing their businesses and products.

Depending on the nature of their business, these responsibilities may include:

Maintaining required registrations, permits, and licenses.
Providing accurate seller and product information.
Displaying truthful prices and material product details.
Supplying products that meet applicable safety and quality requirements.
Complying with consumer protection, tax, invoicing, labeling, and product-specific rules.
Fulfilling accepted orders and handling applicable returns or refunds.
Respecting intellectual property rights and data protection obligations.

TAGOJA Quick may establish onboarding, verification, listing, performance, and marketplace policies. Sellers must comply with these requirements as a condition of participating in the Platform.

The relationship between TAGOJA Quick and each Seller may also be governed by a separate Seller Agreement or other applicable agreement.

13. Delivery Partner Responsibilities

Riders and other Delivery Partners must comply with applicable laws, traffic and road-safety requirements, and the terms of their applicable delivery arrangements.

Delivery Partners must handle orders with reasonable care, protect relevant Customer information, and communicate delivery issues through the appropriate channels.

The specific legal and contractual relationship between TAGOJA Quick and a Delivery Partner depends on the applicable arrangement. These Terms do not, by themselves, determine employment status or override any mandatory rights or obligations under Philippine law.

14. Privacy and Personal Information

TAGOJA Quick processes personal information in accordance with its Privacy Policy and applicable Philippine data protection laws, including Republic Act No. 10173, the Data Privacy Act of 2012, and its implementing rules and regulations.

Depending on your use of the Platform, personal information may include your name, contact details, delivery address, order history, transaction information, and communications with customer support.

Such information may be processed as necessary for purposes including:

Creating and maintaining accounts.
Processing orders and payments.
Coordinating fulfillment and delivery.
Providing customer support and handling complaints.
Preventing fraud and protecting Platform security.
Complying with legal obligations.
Other purposes described in the applicable Privacy Policy and permitted by law.

Where necessary for these purposes, relevant information may be shared with the Seller fulfilling your order, the assigned Rider or Delivery Partner, payment service providers, technology providers, and competent authorities where legally required.

TAGOJA Quick will apply appropriate safeguards and retain personal information only for as long as reasonably necessary for the declared purposes, applicable legal obligations, and legitimate claims, in accordance with applicable law.

Customers may exercise their applicable data privacy rights through the contact details and procedures provided in the Privacy Policy.

15. Intellectual Property

Unless otherwise indicated, the Platform and its original content, including its software, design, branding, logos, text, graphics, and other materials, are owned by or licensed to TAGOJA Quick or its relevant rights holders.

You may use the Platform for its intended personal and lawful purposes. You may not copy, reproduce, modify, distribute, reverse engineer, or commercially exploit protected Platform materials except where permitted by law or with the appropriate authorization.

Product images, trademarks, logos, and materials belonging to Sellers or other third parties remain the property of their respective rights holders.

No ownership rights are transferred to you through your use of the Platform.

16. Third-Party Services

The Platform may rely on or link to third-party services, including payment providers, mapping services, communications providers, and delivery services.

Third-party services may be governed by their own terms and privacy policies. TAGOJA Quick does not control every aspect of those services.

This section does not exclude any liability or obligation that applicable law imposes on TAGOJA Quick in connection with services it provides or controls.

17. Platform Availability and Security

We aim to maintain a reliable and secure Platform but cannot guarantee uninterrupted or error-free operation.

The Platform may occasionally be unavailable because of maintenance, software updates, technical issues, network interruptions, security incidents, or circumstances beyond our reasonable control.

We may modify, suspend, or discontinue a feature where reasonably necessary for maintenance, security, legal compliance, or business operations. Where practicable, material changes affecting Customers will be communicated through appropriate channels.

We will not use this section to avoid responsibilities that cannot lawfully be excluded.

18. Limitation of Liability

To the extent permitted by applicable Philippine law, TAGOJA Quick is responsible for its own acts, omissions, and obligations arising from its operation of the Platform.

TAGOJA Quick is not automatically responsible for every independent act or omission of a Seller, Rider, Delivery Partner, payment provider, or other third party. Responsibility will depend on the relevant facts, contractual arrangements, and applicable law.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, statutory consumer rights, data protection violations, or any other liability that cannot lawfully be excluded or limited.

Where permitted by law, TAGOJA Quick will not be liable for losses that are not reasonably foreseeable and that arise outside its legal responsibility. This provision does not limit any remedy that applicable law requires us to provide.

19. Indemnification

To the extent permitted by applicable law, a user who causes loss, damage, or third-party claims through fraud, unlawful conduct, intentional misuse of the Platform, or a material breach of these Terms may be responsible for the resulting reasonable losses and costs attributable to that conduct.

This provision does not require a Customer to indemnify TAGOJA Quick for TAGOJA Quick's own unlawful conduct, negligence, or obligations that cannot legally be transferred to the Customer.

20. Account Suspension and Termination

You may stop using the Platform and request account closure through the available account settings or support channels.

We may suspend or terminate access where reasonably necessary because of material violations of these Terms, fraud, security risks, unlawful activity, or legal requirements.

Where appropriate and legally permitted, we will provide notice of the relevant reason and an opportunity to address the issue.

Account closure does not eliminate outstanding lawful payment obligations, rights relating to existing orders, applicable refund claims, or record-retention obligations required by law.

Personal information associated with a closed account will be handled in accordance with the Privacy Policy and applicable data protection requirements.

21. Changes to These Terms

We may update these Terms to reflect changes in the Platform, our business operations, applicable law, or service arrangements.

The revised version will be published on the Platform with an updated “Last Updated” date. Where required by law or where a material change warrants it, we will provide appropriate notice and obtain any required consent.

Changes will apply prospectively from the stated effective date, unless otherwise permitted by law. Continued use of the Platform after the effective date may constitute acceptance where legally valid. Where affirmative consent is required, continued use alone will not replace that requirement.

22. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines.

If a dispute arises, the parties are encouraged to contact TAGOJA Quick through the designated support channels to seek a fair and practical resolution.

Where a dispute cannot be resolved informally, it may be referred to the appropriate Philippine court, government agency, or dispute-resolution process with jurisdiction over the matter.

Nothing in these Terms prevents a consumer from exercising a statutory right to file a complaint with the Department of Trade and Industry (“DTI”), the National Privacy Commission (“NPC”), or another competent authority, as applicable.

Any venue or jurisdiction provision will be interpreted subject to mandatory Philippine law and applicable consumer protections.

23. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

The invalid provision will be interpreted or limited only to the extent necessary to make it enforceable, where legally permissible.

24. No Waiver

A failure or delay by TAGOJA Quick to enforce a provision of these Terms does not constitute a waiver of that provision or any other right, unless expressly stated in writing or required by law.

25. Entire Agreement

These Terms, together with the applicable Privacy Policy, refund and cancellation policy, and any other terms expressly incorporated by reference, govern your use of the Platform.

If a separate agreement applies to a particular service, transaction, Seller, or Delivery Partner, that agreement will govern the relevant subject matter to the extent of any lawful inconsistency.
